Terms and Conditions

Welcome to Get HiFy Club Private Limited ("HiFy," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your use of our website, mobile application ("HiFy App"), and our services, including but not limited to the installation of cameras at sports venues and the provision of recorded content, video highlights, images, and related data and statistics (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use our Services. By using our Services, you represent and warrant that you meet the applicable eligibility requirements.

2. User Accounts

To access certain features of the Services, you may be required to register and create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate. You are responsible for safeguarding your account login credentials and for all activities occurring under your account.

3. Booking and Payments

You may use the HiFy App to book sporting sessions at participating venues. Please note that bookings can only be made through our mobile application, not through the website. Payment must be made in full at the time of booking. All payments are non-refundable, except as expressly stated in our refund policy.

4. Recording and Content Access

By using our Services, you acknowledge and consent to the recording of your gameplay by our installed cameras. Recorded content, including videos, highlights, images, statistics, and data, will be made available through the HiFy App upon payment of the applicable fees.

5. License and Use of Content

By participating in events or sessions where HiFy Services are provided, you grant HiFy a non-exclusive, worldwide, royalty-free, irrevocable, perpetual license to use, reproduce, display, distribute, modify, publish, and otherwise exploit your recorded content, including your likeness and performance, for commercial, promotional, advertising, and marketing purposes across all media, including but not limited to websites, social media platforms, and partner channels.

5A. Consent to Use of Gameplay Data for AI and Machine Learning

By participating in any session at a HiFy-enabled Facility, you explicitly acknowledge and agree to the following:

• Grant of AI Training License: In addition to the license granted in Section 5 above, you grant HiFy a non-exclusive, worldwide, royalty-free, irrevocable, perpetual license to use your recorded gameplay footage, motion data, biometric movement patterns, and associated metadata ("Gameplay Data") for the purposes of researching, developing, training, testing, benchmarking, and improving artificial intelligence and machine learning models ("AI Training Purposes").
• Sub-licensing to AI Partners: HiFy may sub-license your Gameplay Data to trusted third-party companies, including artificial intelligence research laboratories, machine learning companies, sports technology firms, and data analytics organizations (collectively, "AI Partners"), solely for AI Training Purposes. All AI Partners are contractually bound to use the Gameplay Data only for the permitted purposes, to implement appropriate data security measures, and to comply with applicable data protection laws.
• Anonymization Practices: Where commercially and technically feasible, HiFy will anonymize or de-identify Gameplay Data before sharing it with AI Partners. If identifiable footage is shared (e.g., for facial or player recognition model training), this will only be done with your explicit, separately obtained written consent.
• No Resale of Personal Data: HiFy will not sell or transfer your personally identifiable information (such as your name, contact number, or payment details) to any AI Partner without your express prior written consent.
• Restrictions on AI Partners: AI Partners may not use Gameplay Data for any purpose other than AI Training Purposes as defined herein. AI Partners may not further distribute, resell, or sub-license the Gameplay Data to any third party without HiFy's prior written consent.
• Opt-Out: You may opt out of having your Gameplay Data licensed to third-party AI Partners at any time by notifying us in writing at privacy@gethify.com. Opting out of third-party AI licensing does not affect HiFy's right to use your Gameplay Data for its own internal AI development, or your access to the Services.
• No Additional Compensation: The licenses granted in this Section are royalty-free. You acknowledge that you will not receive any additional compensation, share of revenue, or other payment in connection with HiFy's use or licensing of your Gameplay Data for AI Training Purposes, beyond the Services provided to you under these Terms.

6. Intellectual Property

All content and materials made available through our Services, including but not limited to software, design, text, images, video, audio, and logos, are the property of HiFy or its licensors and are protected by intellectual property laws. You may not use, reproduce, or distribute any content from our Services without our prior written consent.

7. Prohibited Conduct

You agree not to:

• Use the Services for any illegal or unauthorized purpose;
• Interfere with or disrupt the operation of the Services;
• Use automated systems to access the Services;
• Attempt to gain unauthorized access to any part of the Services or accounts of other users.

8. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. HiFy does not warrant that the Services will be uninterrupted or error-free.

9. Limitation of Liability

To the fullest extent permitted by law, HiFy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Services.

10. Indemnification

You agree to indemnify and hold harmless HiFy and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or in any way connected with your use of the Services or violation of these Terms.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Mumbai, India.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website or app. Your continued use of the Services after the posting of revised Terms constitutes your acceptance of the changes.
